    Acceptance of Terms

    By accessing or using any services provided by Digital Hub LLC ('Company,' 'we,' 'us,' or 'our'), including but not limited to website design, website development, logo design, app development, UI/UX design, video animation, social media marketing (SMM), search engine optimization (SEO), content writing, illustration, and marketing collateral, you ('Client' or 'you') agree to be bound by these Terms and Conditions.

    If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, do not use our services.

    Description of Services

    Digital Hub LLC offers the following digital design and software services:
    • Website Design: Custom homepage and inner page design, responsive layouts, banner creation, and UI concepts.
    • Website Development: Front-end and back-end development, CMS integration (WordPress, custom PHP), e-commerce solutions, payment module integration, and complete deployment.
    • Logo Design: Brand logo creation in 2D, 3D, animated, abstract, and illustrative formats, including stationery and brand collateral.
    • App UI/UX Design: Mobile and web application interface design, wireframing, and interactive prototyping.
    • App Development: Custom mobile and web application development tailored to business requirements.
    • Video Animation: Animated explainer videos, promotional videos, and motion graphics.
    • Social Media Marketing (SMM): Social media strategy, content creation, community management, and paid campaign management.
    • Search Engine Optimization (SEO): On-page SEO configuration, keyword targeting, sitemap generation, and performance optimization.
    • Content Writing: Professional copywriting for web pages, blogs, and marketing materials.
    • Illustration: Custom digital illustration for branding, marketing, and editorial use.
    • Marketing Collateral: Brochures, flyers, business cards, letterheads, and other print/digital marketing assets.

    Project Engagement & Orders

    3.1 Order Placement
    All service orders must be placed through our official website or by contacting our team directly. Orders are confirmed upon receipt of the agreed deposit or full payment, as specified in the project proposal or selected package.

    3.2 Project Scope
    The scope of each project will be defined in the corresponding service package or a written project proposal. Any work beyond the defined scope will require a separate agreement and additional fees. The Client is responsible for providing accurate and complete information necessary to begin and complete the project.

    3.3 Turnaround Times
    Estimated delivery times are provided in good faith based on package specifications or project proposals. The Company is not liable for delays caused by the Client's failure to provide necessary materials, approvals, or feedback within a reasonable timeframe.

    Payment Terms

    4.1 Pricing: All prices are listed in USD on our website and are subject to change without notice. Prices for custom projects are determined on a case-by-case basis and provided in a formal proposal.

    4.2 Payment Schedule: For standard packages, full payment is required at the time of order. For custom or enterprise-level projects, a deposit of 50% is required before work commences, with the remaining balance due upon project completion and prior to final file delivery unless otherwise agreed in writing.

    4.3 Late Payments: If payment is not received by the due date, We reserves the right to suspend work on the project until full payment is received. Projects suspended for more than 30 days due to non-payment may be subject to cancellation without refund of any deposit paid.

    4.4 Taxes: All prices are exclusive of applicable taxes. The Client is responsible for any applicable sales tax, VAT, or other governmental charges.

    Revisions & Approval

    5.1 Revision Policy: Each service package includes a specified number of revision rounds. Revisions must be submitted in a consolidated manner and clearly communicated. Revisions exceeding the included allotment will be billed at an hourly rate to be agreed upon prior to commencement of additional work.

    5.2 Final Approval: The Client is responsible for thoroughly reviewing all deliverables and providing written approval before the project is finalized. Once final approval has been granted, any further changes will be treated as new revisions or a new project and may incur additional charges.

    5.3 Unlimited Revisions: Where 'Unlimited Revisions' are offered, this applies to the design concept revisions within the agreed project scope. It does not cover changes to the project brief, scope additions, or new concepts beyond those originally proposed.

    Intellectual Property & Ownership

    6.1 Transfer of Ownership: Upon receipt of full and final payment, We transfers all intellectual property rights in the final deliverables to the Client. This includes full source files where specified in the package.

    6.2 Company Portfolio Rights: Unless the Client requests otherwise in writing and a Non-Disclosure Agreement (NDA) is executed, The Company retains the right to display the completed work in its portfolio, website, and promotional materials.

    6.3 Third-Party Assets: Stock images, fonts, plugins, and other third-party assets used in projects are subject to their respective licenses. The Client is responsible for obtaining any additional licenses required for commercial or extended use of such assets.

    6.4 Pre-Existing IP: Each party retains ownership of any intellectual property created prior to or independently of the project engagement.

    Client Responsibilities

    The Client agrees to:
    • Provide all required content, materials, logos, and brand assets in a timely manner.
    • Ensure that any materials provided to the Company do not infringe upon the intellectual property rights of any third party.
    • Provide prompt feedback and approvals to ensure project timelines are met.
    • Designate a primary point of contact for the project to facilitate efficient communication.
    • Comply with all applicable laws and regulations in connection with the use of the delivered services.
  • 08

    Refund & Cancellation Policy

    8.1 Cancellation by Client: If a project is cancelled by the Client after work has commenced, any deposits paid are non-refundable. For projects with a 50% deposit structure, the deposit covers the cost of work completed up to the point of cancellation.

    8.2 Money-Back Guarantee: The Company offers a conditional money-back guarantee on select packages as indicated on the pricing page. This guarantee applies only if the Client has not approved any design concept and the Company is unable to deliver a satisfactory design after the full allotment of revision rounds. Refund requests must be submitted in writing within the timeframe specified for each package.

    8.3 Cancellation by Company: Digital Hub LLC reserves the right to cancel any project or service agreement at its sole discretion, including but not limited to cases of abusive conduct, fraudulent activity, or violation of these Terms. In such cases, a pro-rated refund may be issued for work not yet completed.

    Confidentiality

    Where a Non-Disclosure Agreement (NDA) is requested and executed, both parties agree to keep confidential all non-public information exchanged in connection with the project. In the absence of a formal NDA, the Company will treat client information with reasonable confidentiality, consistent with standard industry practice.

    Limitation of Liability

    To the maximum extent permitted by applicable law, We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with the services provided, even if advised of the possibility of such damages.

    The Company's total liability to the Client for any claim arising under or in connection with a project shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.

    Warranties & Disclaimers

    The Company warrants that all work will be performed with reasonable professional skill and care. However, the Company does not warrant that services will be error-free or uninterrupted, or that deliverables will achieve specific business results.

    The Client acknowledges that results from SEO, digital marketing, and social media services are subject to third-party platform algorithms and market factors outside the Company's control. No specific ranking, traffic, or conversion guarantees are provided.

    Governing Law & Dispute Resolution

    These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Georgia, USA. Any disputes arising from or related to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Gwinnett County, Georgia, in accordance with the rules of the American Arbitration Association.

    Modifications to Terms

    Company reserves the right to update or modify these Terms and Conditions at any time without prior notice. Changes will be effective upon posting to our website. Continued use of our services following any changes constitutes acceptance of the revised Terms.
